Hightail Terms of Service

This Agreement (the “Agreement”) by and between Hightail Entertainment Ltd, registered company number 15423667 in England & Wales (“Producer”) and Collaborator (“Participant”) in regard to the multimedia content referenced in the proposal document provided by email (the “Work”).

Scope of Work and Payment

The Producer agrees to provide video production services as outlined in the latest project proposal as of the date of the submission of the Multimedia Service Participant Details and Agreement (the “Proposal”).

All deposits are non-refundable and are required to secure the Producer's services for the agreed-upon dates, per the Proposal.

The full amount as outlined in the Proposal is due at least 24 hours before the first date of shooting. Failure to make payment may result in the cancellation of services.

The Participant agrees to provide all necessary information and materials requested by the Producer in a timely manner. Failure to do so may result in the shoot being rescheduled or canceled. If a shoot is canceled due to the Participant's failure to communicate or provide necessary information, the full amount will still be owed by the Participant.

Cancellation

If the Participant cancels with less than 7 days' notice, the full amount agreed upon in this contract will still be due.

If the Producer cancels at any time, they shall make reasonable efforts to secure a replacement capable of providing the complete service as specified in the Proposal. Should the Producer be unable to find a suitable replacement, the Participant will be entitled to a refund of the amount already paid as a deposit.

Rights Granted

Participant shall have exclusive ownership rights to the final edited video footage and photos delivered as per the Proposal. However, the Producer retains ownership of all additional raw footage, outtakes, and any content not included in the final edit.

The Producer is granted the right to use all footage, including the final edit, for self-promotional purposes, including but not limited to their portfolio, website, and marketing materials.

The Participant agrees to credit Hightail Entertainment prominently whenever the produced content is shared or displayed. The credit shall include the full company name, "Hightail Entertainment," and, if applicable, the appropriate tag on the relevant social media service.

Additional Terms

This Agreement may be modified or amended, if both parties agree in writing.

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.

Both parties do hereby agree at all times to mutually hold harmless from any and all claims, demands, liabilities, losses, costs or expenses (including attorneys’ fees) or causes of action arising out of or in connection with the usage of the Work, and in connection with production and distribution of the motion picture.

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation between the parties.

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of limitation of that party's right to subsequently enforce and compel compliance with every provision of this Agreement.

Neither party may assign or transfer this Agreement without the prior written consent of the non-assigning party, which approval shall not be unreasonably held.
